Terms of Service

IMPORTANT – PLEASE READ CAREFULLY. By accessing or using our Services, you agree to be legally bound by these Terms of Service. If you do not agree, do not access or use the Services.

1. Introduction and Definitions

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and GET PAID TO SPEAK PTE. LTD., a company incorporated in Singapore ("Company", "we", "us", or "our"), governing your access to and use of the AI-powered content creation platform known as GPTS AI, accessible at getpaidtospeak.ai (the "Services").

• "Services" means the AI-powered software-as-a-service platform known as GPTS AI, including all features, tools, AI-generated outputs, and associated documentation.
• "AI-Generated Content" means any text, speech drafts, marketing copy, social media content, or other output generated by the AI components of the Services.
• "Subscription" means a recurring paid licence to access the Services.
• "User Content" means any information, data, prompts, text, or materials you submit to the Services.
• "Authorised User" means any individual you permit to access the Services under your account.

2. Eligibility

To access the Services, you must:

• be at least 18 years of age or the age of majority in your jurisdiction;
• have full legal capacity to enter into binding contracts;
• not be a person or entity barred from receiving services under applicable law; and
• provide accurate, current, and complete registration information.

3. Account Registration and Security

You are responsible for:

• selecting a secure password and maintaining its confidentiality;
• restricting access to your account to Authorised Users only;
• all activities conducted under your account; and
• promptly notifying us at support@getpaidtospeak.asia if you suspect any unauthorised access.

You may not share login credentials, create accounts for automated access (bots), or allow persons who do not qualify under Section 2 to use the Services via your account.

4. Subscription Plans and Billing

4.1 Available Plans

We offer Monthly and Annual Subscription tiers. We reserve the right to introduce, modify, or discontinue plans at any time upon reasonable notice.

4.2 Authorisation to Charge

By providing payment details, you irrevocably authorise us to charge your nominated payment method for all applicable Subscription fees on a recurring basis.

4.3 Taxes

All fees are stated exclusive of applicable taxes (including GST, VAT, or equivalent). You are solely responsible for all taxes arising from your purchase.

4.4 Failed Payments

If a payment fails, we may retry the charge up to three times within a 14-day grace period, suspend access, or terminate your Subscription if payment remains outstanding.

5. Cancellation

You may cancel your Subscription at any time through your account dashboard or by contacting us at support@getpaidtospeak.asia. Cancellation takes effect at the end of your current paid billing cycle. We recommend cancelling at least 24 hours before your renewal date.

6. Refund Policy

6.1 General Rule

All Subscription fees are non-refundable except as expressly set out in this Section 6.

6.2 New Subscriber Cooling-Off Period

First-time subscribers may request a full refund within 7 days of their initial purchase, provided usage has been minimal and you have not violated these Terms.

6.3 Annual Subscription Renewal Refund

If your Annual Subscription renews automatically and you did not intend to renew, you may request a full refund within 14 days of the renewal charge, provided you have not materially used the Services during the renewed period.

6.4 Monthly Subscriptions

Monthly Subscription fees are non-refundable once charged.

6.5 Prorated Refunds Not Available

We do not provide prorated or partial refunds for unused portions of any Subscription period, failure to use the Services, downgrades, or failure to cancel before renewal.

6.6 No Refund for Results or Outcomes

Refunds will not be granted solely on the basis that AI-Generated Content did not meet your expectations or desired business outcomes were not achieved.

6.7 How to Request a Refund

Submit refund requests to support@getpaidtospeak.asia with the subject line "Refund Request – [Account Email]".

7. Licence Grant and Intellectual Property

7.1 Our Licence to You

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable licence to access and use the Services solely for your internal business purposes.

7.2 Our Intellectual Property

All right, title, and interest in and to the Services — including the underlying software, AI models, algorithms, platform design, and associated intellectual property — are and remain the exclusive property of the Company and its licensors.

7.3 Restrictions

You must not:

• copy, reproduce, distribute, or transmit any part of the Services;
• sublicense, sell, resell, transfer, assign, or commercially exploit the Services;
• reverse engineer, decompile, or create derivative works from the Services;
• use the Services or outputs to develop a competing product or service; or
• access the Services via automated means, bots, or scrapers not expressly authorised by us.

7.4 Your User Content

You retain ownership of all User Content you submit. By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive licence to use, process, and store that content solely to provide the Services to you. We do not use your User Content to train our AI models without your separate, express consent.

7.5 AI-Generated Content Ownership

AI-Generated Content produced in response to your prompts is assigned to you to the extent such assignment is permissible. You are responsible for verifying the intellectual property status of outputs in your jurisdiction.

8. Acceptable Use Policy

You must not use the Services to:

• violate any applicable law or regulation;
• generate defamatory, obscene, abusive, hateful, or harassing content;
• infringe any third party's intellectual property, privacy, or other rights;
• generate spam or bulk messaging content;
• generate misinformation, disinformation, or deceptive content; or
• attempt to gain unauthorised access to any part of the Services.

9. AI-Generated Content – Disclaimers and Responsibilities

You acknowledge and agree that:

• AI-Generated Content may contain errors, inaccuracies, or content inappropriate for your specific context.
• AI-Generated Content does not constitute professional advice of any kind, including legal, financial, or medical advice.
• You are solely responsible for reviewing, editing, verifying, and approving all AI-Generated Content before any use or publication.
• The same or substantially similar output may be generated for other users.

10. Service Availability and Changes

We will use commercially reasonable efforts to make the Services available 24/7. However, we do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance, take the Services offline for emergency maintenance, or modify features at any time.

11. No Guarantee of Results

We make no representation, warranty, or guarantee that use of the Services will generate any particular level of business success, revenue, or profit, or result in secured speaking engagements, media coverage, or client acquisition. You acknowledge that you are purchasing access to a software tool, not a guaranteed business outcome.

12. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with your use of the Services in breach of these Terms, any User Content you submit, or your violation of any applicable law or third-party rights.

15. Third-Party Services and Links

The Services may integrate with or contain links to third-party services. We do not endorse or control Third-Party Services and are not responsible for their content, privacy practices, or terms.

16. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

17. Privacy and Data Protection

We collect, use, store, and process personal data in accordance with our Privacy Policy and in compliance with the Personal Data Protection Act 2012 (Singapore) and other applicable data protection laws.

18. Term and Termination

18.1 Term

These Terms commence on the date you first access the Services and continue for the duration of your active Subscription unless earlier terminated.

18.2 Termination by Us

We may suspend or terminate your access immediately, without prior notice, if you materially breach these Terms, engage in conduct that poses a risk to the Services or other users, or fail to pay amounts due.

18.3 Termination by You

You may terminate these Terms at any time by cancelling your Subscription in accordance with Section 5 and ceasing use of the Services.

18.4 Effect of Termination

Upon termination, all licences granted to you immediately cease, and you must cease all use of the Services. Sections 7.2, 7.3, 12, 13, 14, 19, 20, and 21 survive termination.

19. Changes to These Terms

We may update these Terms at any time. Where we make material changes, we will provide at least 30 days' prior written notice by email or by prominent notice within the Services. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

20. Dispute Resolution

20.1 Good Faith Negotiation

The parties agree to attempt to resolve any dispute through good faith negotiation before commencing formal proceedings. Either party may initiate this process by sending written notice, and the parties will have 30 days to attempt resolution.

20.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

20.3 Jurisdiction

If a dispute cannot be resolved through negotiation, the parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore.

21. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Services.
• Severability: If any provision is found unlawful or unenforceable, it shall be severed without affecting the remaining provisions.
• Waiver: No waiver of any right shall be effective unless in writing.
• Assignment: You may not assign your rights or obligations without our prior written consent.
• Force Majeure: We shall not be liable for failure or delay caused by circumstances beyond our reasonable control.
• Relationship of the Parties: These Terms do not create a partnership, joint venture, agency, or employment relationship.
